Moravia IT s.r.o., Moravia IT, LLC, and each of their affiliated entities (collectively, “Moravia IT”) are committed to ensuring that their business is conducted in an ethical and responsible manner.
The Moravia IT Code of Conduct (the “Code”) sets forth the requirements and standards that Moravia IT abides to in conducting its business, which standards it also requires each of its suppliers, vendors, contractors, consultants, and all third-parties who do business with Moravia IT (each, a “Supplier”) to abide by, in order to ensure that Moravia IT’s supply and service chains are safe and ethical.

A. LABOR

Moravia IT’s labor practices relating to all of its employees, independent contractors, and personnel comply with all applicable laws, as well as the requirements and principles of this Code. Moravia IT only engages workers whose age is the greater of: (i) 15, (ii) the age of completion of compulsory education in the country where work is performed, or (iii) the minimum age to work in the country where work is performed.

Moravia IT does not use forced labor - slave, prison, indentured, bonded, or otherwise. Moravia IT does not traffic workers or in any other way exploit workers by means of threat, force, coercion, abduction, or fraud. Working for Moravia IT always voluntary, and workers are free to leave work and terminate their employment or other work status with reasonable notice. Moravia IT workers are offered clear, understandable contracts regarding the terms and conditions of their engagement.

Moravia IT provides workers with a safe, clean, and healthy work environment in all instances where workers work in Moravia IT facilities, and Moravia IT complies with all applicable laws regarding working conditions and standards. Violence and threatening behavior are not permitted by or towards Moravia IT’s workers.

Moravia IT pays its workers in a timely manner and provides compensation (including overtime pay and benefits) that satisfies all applicable laws. Working hours for Moravia IT’s workers do not exceed the maximum amount permitted by law.

Moravia IT does not discriminate on the basis of race, color, national origin, gender, religion, disability, age, pregnancy, marital or family status, or similar factors in hiring and working practices such as job applications, promotions, job assignments, training, wages, benefits, and termination. Moravia IT does not subject workers or applicants to medical tests that could be used in a discriminatory manner. Hiring, promotion, and assignments are made by Moravia IT based on a worker’s skills, individual merit, and abilities to perform the work in question, and not on discriminatory personal characteristics.

Moravia IT only engages workers who have a legal right to work. If Moravia IT engages foreign or migrant workers, those workers are engaged in full compliance with the immigration and labor laws of the host country.

Moravia IT prohibits unlawful harassment by or of its workers in any form – verbal, physical, sexual, or visual.

B. ETHICAL CONDUCT

Moravia IT does not offer nor accept bribes or other means of obtaining undue or improper advantages to anyone for any reason, whether in dealings with governments or the private sector. Moravia IT has a zero tolerance policy for offering and accepting any and all forms of bribery, corruption, extortion and embezzlement (covering promising, offering, giving or accepting any bribes). Moravia IT performs all business dealings transparently, subject to ordinary, reasonable, and legal non-disclosure restrictions, and these dealings are accurately reflected on Moravia IT’s business books and records. Moravia IT does not make illegal payments themselves or through a third party (or agent). Moravia IT complies with applicable anti-corruption laws, including the United States Foreign Corrupt Practices Act and the United Kingdom Bribery Act, and does not offer anything of value, either directly or indirectly, to government officials in order to obtain or retain business. Moravia IT does not make illegal payments to government officials themselves or through a third party.

Moravia IT protects worker whistleblower confidentiality and prohibits retaliation against workers who report workplace grievances. A whistleblower is any person who makes a disclosure about improper conduct by an employee or officer of a company, or by a public official or official body.

Moravia IT respects intellectual property rights and will conduct the transfer of technology and know-how in a manner that protects intellectual property rights.

Moravia IT complies with all applicable fair business, advertising and competition laws, including fair trading and antitrust laws.

Moravia IT is committed to protecting the reasonable privacy expectations of personal information of everyone they do business with, including suppliers, customers, consumers and employees. Moravia IT complies with privacy and information security laws and regulatory requirements when personal information is collected, stored, processed, transmitted and shared. Moravia IT protects confidential information and properly secures, labels and (when appropriate) disposes of confidential material, safeguarding confidential information Moravia IT receives from others under non-disclosure agreements and abiding by the terms of those agreements.

Moravia IT does not make any formal or informal agreement with any competitor regarding prices, discounts, business terms, or the market segments in which Moravia IT competes, if the purpose of such discussion or agreement would be inconsistent with antitrust or price-fixing laws.

Moravia IT’s books, records, accounts and financial statements are maintained in appropriate detail, properly reflect our business transactions, and conform to applicable law.

C. ENVIRONMENTAL

Moravia IT complies with all applicable environmental laws. In any case where it is necessary or appropriate, Moravia IT will obtain and keep current all required environmental permits, approvals, and registrations and follow applicable operational and reporting requirements. Moravia IT adheres to all applicable laws, regulations and customer requirements regarding prohibition or restriction of specific substances, including labeling for recycling and disposal.

D. CONTINUED IMPROVEMENT

Moravia IT is committed to continued growth and improvement in conducting its business with the utmost integrity to meet and exceed our customer’s expectations. This Code is subject to periodic review to ensure that Moravia IT complies with all evolving and desirable ethical standards, and may be updated and improved by Moravia IT at any time it is deemed appropriate.
